Shapiro, Blasi, Wasserman & Hermann shareholder Andrew Dector, assisted by firm partner James Ferrara, recently secured a big win for a real estate investment trust in a matter involving the purchase and sale of approximately 504 acres of vacant land for development in Alachua County, Florida.
The developer who purchased the land claimed that the firm’s client did not furnish certain information and documents during due diligence in accordance with the terms of the contract and, therefore, was unaware that it could not develop a certain portion of the land. The principal of the developer and the plaintiff in the case sought more than $2,000,000.
Mr. Dector and Mr. Ferrara were successfully able to show that their client was not making any representation or warranty as to the completeness, content or accuracy of materials provided to the buyer. Additionally, that there are no circumstances under which the firm’s client could be held accountable to the buyer for failing to furnish any specific or incomplete documents related to the property.
In October 2023, a summary final judgment was affirmed on appeal in favor of the firm’s client by the First District Court of Appeal and the Mandate of the Court was entered on January 5, 2024. As a result of the outcome, their client was awarded attorney’s fees by the Court.
